Terms of Service
Effective 28 September 2026 · Last updated 28 September 2026.
These Terms of Service ("Terms") govern access to and use of all of our web and mobile applications (together, the "Platform") and the products and services offered through them (the "Services"). The Platform is owned and operated by Animals at Work Pvt Ltd, a company incorporated in India with its registered office at 3rd Floor, 29-1379/7, Deendayal Nagar, Neredmet, Tirumalagiri, Hyderabad, 500056, Telangana, India ("Docodile", "Company", "we", "us").
These Terms apply to everyone who uses the Platform:
- Doctors — registered medical practitioners who hold valid credentials and are registered with the National Medical Commission or the relevant State Medical Council (or any successor body);
- Staff — the people a Doctor or clinic authorises to use the Platform on their behalf; and
- Patients — the patients and end users whose information is handled through the Platform.
Doctors, Staff, and Patients are together the "Users" or "you". By accessing or using the Platform, registering for the Services, or submitting or downloading any content to or from the Platform, you agree to these Terms. If you do not agree to these Terms, please do not use the Platform.
1. Acceptance and changes
Your use of the Platform is subject to these Terms, which we may update from time to time. It is your responsibility to review them periodically; continued use after a change takes effect means you accept the change. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, and non-assignable licence to use the Services solely for the purposes described in these Terms. In these Terms, "including" means "including without limitation".
2. The Services
The Platform is a practice-management tool that helps clinics and Doctors run their practice — managing appointments and queues, recording consultations, prescriptions, procedures, and investigations, and handling billing, inventory, and related workflows. A Doctor may review a patient's information (vitals, records, reports, and images — the "Data") and provide care based on it.
It does not itself diagnose, treat, or provide medical advice. It presents Data to Doctors on an "as-is" basis and makes no representation as to the Data's accuracy — that responsibility rests with the person who provides or enters it.
We work to keep the Services functional and available but do not guarantee that your browser or device will be compatible, that the Services will be uninterrupted, or that content will be error-free. We are not responsible for interruptions caused by, among other things, changes in a clinic's own setup, network failure, or other technical events. We may modify, suspend, or discontinue any part of the Services (including pricing) by posting notice on the Platform or contacting you by other means.
3. Registration and eligibility
To use the Services you will create an account with login credentials. You are responsible for the accuracy of the information you provide, for keeping it current, and for keeping your credentials secure. You are responsible for all activity under your account, and we are not liable for loss arising from use of the Services through your credentials. You may not register using another person's identity, using marks or names that belong to another party (including ours), or using offensive or misleading details. We may suspend or terminate any account that breaches these Terms.
Doctors represent and warrant that they are licensed medical practitioners registered with the National Medical Commission or the relevant State Medical Council, and that no legal or regulatory bar prevents them from practising medicine in India.
Eligibility. By using the Services you represent that you are at least 18 years old and legally competent to enter into these Terms, that you are using your own identity (not impersonating anyone), and — if you use the Services for a clinic or organisation — that you are authorised to bind it. You agree to comply with all laws and professional regulations that apply to you when using the Services.
4. Consent and responsibility for patient data
- The clinic / Doctor is the data controller (data fiduciary) for patient Data; Docodile acts as a data processor, handling patient Data on the clinic's instructions to provide the Services. Our handling of personal data is set out in the Privacy Policy, which forms part of these Terms.
- Doctors and Staff represent and warrant that they have obtained the consent required by law before storing on, or sharing through, the Platform any patient information, including personal, health, demographic, and financial information.
- By using the Platform, Patients consent to their information being stored and used for the purposes described in the Privacy Policy.
- All clinical decisions are the Doctor's. Diagnoses, prescriptions, and treatment are made on the Doctor's professional judgement, not by Docodile.
5. Acceptable use and restrictions
You agree that you will not, and will not permit anyone to:
- copy, republish, frame, or resell the Platform except as expressly permitted;
- make the Platform available to anyone other than your authorised personnel;
- remove, alter, or obscure any copyright, trademark, or proprietary notice;
- reverse engineer, decompile, or attempt to derive the source code of the Platform;
- use the Platform to build a similar or competitive product;
- use any scraper, bot, spider, or other automated means to access, copy, or monitor any part of the Platform, or to bypass its navigational structure;
- attempt to gain unauthorised access to the Platform, any account, server, or connected system, whether by hacking, credential mining, or other illegitimate means;
- probe, scan, or test the vulnerability of the Platform or breach its security or authentication measures;
- trace or attempt to reveal information about another User; or
- disrupt, overload, or otherwise harm the Platform or the networks connected to it.
You must access the Platform only through the interface we provide. If you breach this Section, we may recover the actual losses, damages, and costs we suffer as a result, as permitted by law, and seek injunctive relief — the parties acknowledge that such a breach may cause harm for which money alone is not an adequate remedy.
6. Confidentiality and security
Your responsibility. Through the Platform you may access sensitive Data belonging to other Users, including medical and personal information. You agree to treat all such Data as confidential, to use your best efforts to keep it confidential, and to observe the duty of care and patient-confidentiality obligations that apply to you.
Our commitments. We will not share identifiable patient Data with other doctors, clinics, or hospitals, and we will not use the Platform to solicit or "poach" a Doctor's patients. We store Data on secured cloud infrastructure and apply safeguards including:
- access to the Services only after authentication of a username and password;
- credentials stored only as salted hashes, never in readable form;
- encrypted (HTTPS) communication between your device and our servers;
- session-token access to patient Data after authentication;
- role-based access, according to the roles a Doctor assigns to Staff; and
- per-clinic data isolation, access controls, and encryption of uploaded files and documents at rest.
We keep identifiable patient information confidential and disclose it to third parties only as set out in the Privacy Policy, or where we reasonably believe disclosure is necessary to comply with law or legal process, to enforce our agreements, or to protect the rights, property, or safety of the Company, our Users, or others.
7. De-identified data
We may use de-identified and aggregated data — data processed so that an individual cannot reasonably be identified, as defined in our Privacy Policy — to operate, secure, and improve the Platform, to produce aggregate, non-identifying statistics, and to promote and market the Platform. We apply reasonable de-identification measures and will not attempt to re-identify such data; we do not sell it, we do not use identifiable patient health data for advertising, and we will not use it in any way that identifies or enables the solicitation of a Doctor's individual patients.
8. Data ownership
- Personal data. Users retain ownership of the personal data they provide, subject to the licence granted to us under these Terms to host and process it.
- Aggregate statistics. Aggregate, non-identifying statistics we produce to operate and improve the Platform are ours; they contain no personal data.
- The Platform. We and our licensors own the Platform, its software, and design (excluding your data).
9. Communications
You agree to receive service-related (transactional) communications from us by email, phone, and/or SMS, and — where you opt in — promotional communications. Where you provide a mobile number for the Services, you authorise us and our service providers to contact you at it in connection with the Services. You can withdraw consent to promotional messages at any time by writing to hello@docodile.app, without affecting transactional messages, which are part of providing the Services.
10. Fees and payment
Access to paid features requires the subscription or fees set out in your plan or order. Fees are payable as agreed, are non-refundable except as required by law or as expressly stated, and may be revised on prior notice. Applicable taxes are your responsibility. We may suspend the Services for non-payment.
11. Intellectual property
The Platform, including its software, design, and content (excluding your data), is owned by the Company and its licensors. We grant you a limited right to use it during your subscription. You retain all rights in your own data and grant us the limited rights needed to host and process it to provide the Services.
12. Service availability and service levels (SLA)
We aim to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation, except to the extent of the service levels set out in this Section, which apply to clinics on an active, paid subscription.
12.1 Uptime commitment
We aim to keep the core Service highly available and target a Monthly Uptime of approximately 99% on a commercially reasonable, best-efforts basis. This is a good-faith objective, not a measured or guaranteed service level: we do not operate a formal uptime-measurement programme and do not provide a recorded monthly uptime figure. "Downtime" means a period during which the core Service is unavailable — users cannot log in or cannot access core functions (appointments, patient records, prescriptions, billing) — excluding the periods described in Sections 12.4 and 12.5.
12.2 Remedies
The availability target in Section 12.1 is a good-faith objective, not a measured or guaranteed service level, and we do not offer service credits for availability. Your remedies in relation to Service availability are as set out in Section 14 (Disclaimer of warranties) and Section 16 (Limitation of liability).
12.3 Support response targets
We aim to respond to reported incidents within these targets, measured during Clinic Hours (09:00–21:00 IST, Monday–Saturday, or as agreed in your subscription). "Response" means our first substantive reply and start of investigation, not resolution:
| Severity | Definition | Response target |
|---|---|---|
| P0 — Critical | Core Service down or unusable for all or most users. | Within 1 hour during Clinic Hours; we work continuously until service is restored or a workaround is in place. |
| P1 — High | A major function is broken or severely degraded for many users, but a limited workaround may exist. | Within 4 Clinic Hours. |
| P2 — Normal | Minor or isolated issue, limited impact, or cosmetic. | Within 1–2 business days. |
12.4 Maintenance
We may perform scheduled maintenance and will give at least 24 hours' notice for planned maintenance expected to cause Downtime, aiming for low-traffic windows where possible. We may perform emergency maintenance (for example, to address a security risk) with shorter or no notice. Maintenance under this clause is excluded from Downtime.
12.5 Exclusions
Downtime does not apply to unavailability caused by: maintenance under Section 12.4; factors outside our reasonable control (including force majeure, internet or ISP failures, and outages of upstream infrastructure or third-party providers); your own equipment, local network, browser, device, or configuration; your or your users' acts or omissions, including misuse or use contrary to these Terms; suspension or termination for non-payment or breach; or features labelled beta, trial, preview, or "as available".
13. Medical disclaimer
The Platform supports clinic operations and record-keeping. It does not practise medicine, provide clinical advice, or replace professional judgement. The Company is not responsible for any clinical decision, diagnosis, prescription, or patient outcome. Clinicians remain solely responsible for the care they provide.
14. Disclaimer of warranties
To the maximum extent permitted by law, the Platform and Services are provided "as is" and "as available", without warranty of any kind, express or implied, including warranties of title, non-infringement, merchantability, and fitness for a particular purpose. We do not warrant that the Services will be secure or available at any particular time, that defects will be corrected, that content is free of harmful components, or that results will meet your requirements. Your use of the Services is at your own risk.
15. Indemnification
You will defend, indemnify, and hold harmless the Company, its affiliates, and their directors, employees, and representatives from all liabilities, losses, claims, and expenses (including reasonable legal fees) arising from or relating to (i) your use or misuse of the Platform or Services, or (ii) your breach of these Terms or of any applicable law or third-party right (including patient rights). We may assume the exclusive defence of any matter subject to indemnification, and you will cooperate.
16. Limitation of liability
To the fullest extent permitted by law, the Company (and its directors, employees, agents, suppliers, and licensors) will not be liable, under any legal theory, for: (i) any lost profits, loss of data or goodwill, cost of substitute services, or any indirect, incidental, special, punitive, or consequential damages; (ii) direct damages in aggregate exceeding the fees you paid for the Services in the three (3) months before the event giving rise to the claim; or (iii) any matter beyond its reasonable control — even if advised of the possibility of such damages. Nothing here limits liability that cannot be limited by law.
17. Term and termination
We may suspend or terminate your access to all or part of the Services if you breach these Terms, or you may stop using the Services in accordance with your plan. On termination or lapse of your subscription, your right to use the Services ends. Provisions that by their nature should survive termination (including disclaimers, indemnity, and liability limits) survive.
Data retention after termination. When a subscription ends or lapses, we keep your Data in a read-only, encrypted, access-controlled state for a 45-day grace period, during which you may log in to export your Data or reactivate your account. After the 45-day grace period we suspend the account and move your Data to low-cost, encrypted archival storage — kept secure but no longer available for day-to-day access — from which you may still request export or deletion. We delete your Data on request, except for (i) data we are required by law to retain (for example, minimum medical-record or accounting retention periods), and (ii) De-Identified Data (Sections 7 and 8). We will make reasonable efforts to let you export your Data in a usable electronic format before deletion. Our data-retention practices are described further in the Privacy Policy.
18. Governing law and jurisdiction
These Terms are governed by the laws of India, without regard to conflict-of-laws rules. The courts at Hyderabad, India will have exclusive jurisdiction over any dispute arising out of or in connection with the Platform, these Terms, or any transaction through the Platform.
19. Compliance with applicable laws
Each party shall comply with the laws that apply to it relating to privacy, data protection, cybersecurity, electronic records, and healthcare information, including, where applicable, the Digital Personal Data Protection Act, 2023 and the rules made thereunder, and the Information Technology Act, 2000 and the rules made thereunder. As between the parties, the Clinic is the Data Fiduciary and Docodile is the Data Processor for patient Data (see Section 4), and each party is responsible for its own compliance obligations in that capacity.
20. Miscellaneous
Force majeure. Neither party is liable for any failure or delay in performing its obligations (other than a payment obligation) caused by events beyond its reasonable control — including acts of God, natural disaster, epidemic, civil disturbance, strikes, government action, or failures of the internet, telecommunications, power, or upstream cloud/third-party providers.
These Terms are the entire agreement between you and the Company regarding the Platform and Services and supersede prior communications. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the rest will remain in effect. A failure to enforce a right is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them. No agency, partnership, or employment relationship is created by these Terms. Notices must be in writing and are effective on receipt (if delivered personally or by registered post), on confirmation (if by email), or two days after dispatch by a recognised courier.
